These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services offered by Talentelly (collectively, the "Services"). By creating an account, clicking to accept these Terms where presented, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. Eligibility and accounts
You must be legally able to enter a binding contract under applicable law. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate registration information and keep it updated.
2. The Services
Talentelly provides a talent and sports management platform that may include features such as profiles, teams, events, scoring, reporting, and organization tools. Features may vary by plan or configuration. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.
3. Acceptable use
You agree not to:
- Violate applicable law, third-party rights, or these Terms.
- Upload or transmit malware, spam, or unlawful, defamatory, harassing, or hateful content.
- Attempt to gain unauthorized access to the Services, other users' accounts, or our systems.
- Reverse engineer, scrape, or overload the Services except as expressly permitted by law and by us in writing.
- Use the Services to build a competing product using our proprietary materials without permission.
We may investigate violations and suspend or terminate access where appropriate.
4. User content and data
You retain rights in content you submit ("User Content"). You grant Talentelly a non-exclusive, worldwide license to host, process, display, and distribute User Content solely to provide and improve the Services, enforce these Terms, and comply with law. You represent that you have the rights needed to grant this license, including where User Content relates to other individuals (for example roster data).
Our use of personal data is described in our Privacy Policy. You will comply with applicable data protection laws when you upload personal data about others.
5. Organizations and administrators
Where the Services are used under an organization account, administrators may access, configure, and export data in line with that organization's policies. Your use may be subject to additional agreements between your organization and us.
6. Third-party services
The Services may integrate with or link to third-party services. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services.
7. Intellectual property
Talentelly and its licensors own all rights in the Services, software, branding, and related materials, excluding your User Content. No rights are granted except the limited right to use the Services in accordance with these Terms.
8. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
9. Limitation of liability
To the maximum extent permitted by applicable law, Talentelly and its affiliates, officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of the Services. Our aggregate liability for any claim arising out of these Terms or the Services will not exceed the greater of (a) the amounts you paid us for the Services in the twelve (12) months before the claim or (b) INR 5,000, except where liability cannot be limited under applicable law (including wilful misconduct or fraud).
10. Indemnity
You will defend and indemnify Talentelly against claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your misuse of the Services, or your violation of these Terms or applicable law, except to the extent caused by our wilful misconduct.
11. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, create risk or possible legal exposure, or if we are required to do so by law. Provisions that by their nature should survive (including Sections 7–12, 14–16) will survive termination.
12. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable statutory rights, courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction, unless another forum is mandatorily required by law.
13. Export and sanctions
You represent that you are not prohibited from using the Services under applicable export control or sanctions laws.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms and update the "Last updated" date. If changes are material, we will provide additional notice as appropriate. Continued use after the effective date constitutes acceptance of the updated Terms, except where your explicit consent is required by law.
15. Electronic communications
You consent to receive communications from us electronically (for example, email or in-product notices). You are responsible for keeping your email address current.
